These Terms & Conditions describe the rules and expectations that govern your access to and use of our Services. They explain our rights and responsibilities, as well as yours, when using the City platform.
By using the Services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of the Terms, you should not access or use the Services.
These Terms & Conditions help ensure a consistent, transparent, and respectful experience for all Members. Please read them carefully.

About these Terms & Conditions
Welcome to City (“City”), a curated, invitation-only membership that provides access to exclusive nightlife, cultural events, concierge services, and elevated experiences. These Terms & Conditions (“Terms”) govern your access to and use of the City services.
City is operated by City Black Card LLC (“City,” “we,” “us,” or “our”), a limited liability company incorporated in the State of Delaware with its principal mailing address at 1151 Walker Rd ste 100 #526, Dover, Delaware 19904-6600.
These Terms incorporate by reference our Privacy Policy and any other policy or agreement linked or referenced herein. By accessing or using our app, website, or services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1.General Terms
1.1 About the Services
City provides members access to a curated set of experiences, reservations, and offerings through our mobile app and concierge channels. Our Services may include:
Event access and booking
Dining reservations
Nightlife experiences
Partner offers and activations
Lifestyle concierge support
The scope of Services may evolve over time. City is a private membership and not available to the general public. You must be at least 18 years old and capable of entering into a binding legal agreement to use our Services.
We may suspend or terminate your account at our discretion, including for violations of these Terms or misuse of the Services.
1.2 Third-Party Services
Some experiences, offers, and transactions may be fulfilled by third-party vendors or venues. City is not liable for third-party actions, omissions, or service quality. You may also be subject to the third party’s own terms of service and cancellation policies.
1.3 Commissions
City may receive commissions or affiliate fees on purchases or bookings made via our platform. The price of experiences or products may reflect such commissions.
2.Membership & Account
2.1 Eligibility & Application
Membership is by application or invitation only. We reserve the right to approve or deny membership applications at our sole discretion.
To apply, prospective members must:
Submit an application through our website or concierge
Provide accurate personal and contact information
Agree to these Terms
All information submitted must be truthful. False or outdated information may result in termination.
City reserves the right to deny admission to the membership waitlist or application process at any time and for any reason. Waitlist placement does not guarantee access, and different pricing or benefits may apply to early or invited members.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account login and verifying any communications. You may not allow others to use your account unless explicitly authorized as Delegates. Delegates may make requests but cannot access the App.

3.MEMBERSHIP TERMS
3.1 Fees and Renewals
Memberships require payment of an annual membership fee (and, if applicable, an initiation fee), which will be clearly disclosed prior to enrollment. Memberships renew automatically unless canceled.
We will notify you at least 30 days before renewal. You may cancel prior to your renewal date through:

3.2 Payment Terms
Payments are accepted via credit/debit card and may be processed by our third-party processor (e.g., Stripe). By providing your card information, you authorize City to charge your account for recurring membership fees and purchases.
City is not liable for exchange rates, card processor fees, or taxes assessed by your financial institution.
3.3 Refund & Cancellation Policy
You may cancel your membership within 14 days of initial enrollment or renewal to receive a full refund, minus any fulfilled service charges. No refunds are granted beyond the 14-day window unless required by law.
3.4 In-App Credits
City may issue promotional credits redeemable toward eligible bookings. These have no cash value, may expire, and are non-transferable.
4.Concierge & Experience Requests
4.1 Request Types
We may assist with:
Event reservations
Table bookings
Product sourcing
Curated itineraries
All requests are fulfilled at our discretion. Some requests (e.g., last-minute reservations) may not be available. Abusive or repeated no-show behavior may lead to account termination.
4.2 Third-Party Purchases
For bookings and purchases fulfilled by partners, you agree:
City acts solely as an intermediary
The contract is between you and the supplier
City is not liable for refunds, delays, or service quality
Any issues must first be directed to the vendor. We may assist but do not guarantee resolutions.
City reserves the right to revoke or suspend membership if it determines that a member has attempted to resell or profit from unauthorized sharing of City experiences, benefits, or invitations.
5.Payment Processing
We use third-party processors (e.g., Stripe) for secure payments. By using our Services, you consent to their terms and privacy policy. City is not responsible for processor-related errors or data practices.
6.License & Intellectual Property
City grants you a limited, non-transferable license to use the Services for personal use only. You may not copy, modify, resell, or reverse-engineer any part of our App, website, or materials.
All intellectual property, branding, and content remain the property of City Black Card LLC or its licensors.
7.Member Code of Conduct
You agree not to:
Abuse or harass staff or partners
Make illegal or inappropriate requests
Misrepresent yourself
Use the platform for commercial purposes without authorization
Access or interfere with City systems
Violation may result in suspension or permanent revocation of your membership.
8.Beta Access & Pilot Features
Certain features of City (including access via SMS "City Preview Program", early pilot offerings, or concierge interfaces) may be offered as part of limited beta programs. These features may change, be removed, or operate differently across members. City reserves the right to discontinue beta features and access at any time.
9.Limitation of Liability
To the maximum extent permitted by law, City is not liable for:
Third-party vendor issues
Lost profits or indirect damages
Acts of God or force majeure
Service unavailability outside our control
Nothing in these Terms excludes liability for death, personal injury, or fraud caused by City's negligence.
10.Termination
We may terminate or suspend your account at any time for violations of these Terms, abuse, or inactivity. You may terminate your account at any time via written notice.
If we terminate your membership without cause, we will refund the unused portion of your membership fee on a pro-rata basis.
11.Governing Law
U.S. Members: These Terms are governed by the laws of the State of Delaware. Disputes will be resolved in Kent County, Delaware.
International Members: Local consumer laws may apply. Disputes will be resolved under U.S. law unless otherwise required.
12.Communication
By providing your phone number or email, you agree to receive communications from City, including membership updates, promotional offers, and transaction alerts. Standard carrier charges may apply.
You also consent to receive automated and recurring text messages from City or its service providers for transactional and operational purposes. You may reply “STOP” at any time to unsubscribe.
13.Updates to Terms
We reserve the right to update these Terms. Material changes will be communicated to you via email. Continued use of the Services after updates constitutes acceptance of the new Terms.
